1. Acceptance of Terms
By accessing and using the services provided by Constelly Inc., you accept and agree to be bound by the terms and conditions of this agreement. If you do not agree to these terms, you should not use our services.
2. Services Description
Constelly Inc. provides software development, consulting, and related technology services. The specific scope of services will be defined in individual project agreements and statements of work.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information for project requirements
- Respond to communications in a timely manner
- Make payments according to agreed-upon terms
- Provide necessary access, credentials, and resources
- Review and provide feedback on deliverables within specified timeframes
4. Intellectual Property
Upon full payment, all intellectual property rights to custom-developed software and deliverables will be transferred to the client, unless otherwise specified in the project agreement. Pre-existing tools, libraries, and frameworks remain the property of their respective owners.
5. Payment Terms
Payment terms will be specified in individual project agreements. Late payments may incur interest charges and may result in suspension of services. All fees are non-refundable unless otherwise stated in writing.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This includes business strategies, technical specifications, and any other sensitive information.
7. Limitation of Liability
Constelly Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total liability shall not exceed the amount paid by the client for the specific services in question.
8. Termination
Either party may terminate the agreement with written notice as specified in individual project agreements. Upon termination, the client shall pay for all services rendered up to the termination date.
9. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
